Agreement and Operator

These Terms of Service ("Terms") are a legal agreement between you and West North Labs LLC, a Delaware limited liability company. Photo2Ads is a product operated by West North Labs LLC ("Photo2Ads," "we," "us," or "our").

These Terms govern your access to photo2ads.com, the Photo2Ads Studio, accounts, AI generation, Credits, subscriptions, and related services. By accessing or using Photo2Ads, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

If you use Photo2Ads for an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

Eligibility

You must be at least 13 years old to use Photo2Ads. If you are under the age of legal majority where you live, you may use Photo2Ads only with permission from a parent or legal guardian who has reviewed these Terms and accepts responsibility for your use.

You may not use Photo2Ads if applicable law bars you from receiving the service or if we previously suspended your access for a serious or repeated violation.

Accounts and Security

Provide accurate account information and keep it current. You are responsible for activity under your account and for protecting your sign-in method, connected Google account, sessions, and devices. Notify us promptly at support@photo2ads.com if you suspect unauthorized access.

Do not sell, transfer, share, or automate access to an account in a way that bypasses plan, rate, model, or security limits. We may rely on notices sent to the email address associated with your account.

The Service and AI Outputs

Photo2Ads helps transform product references, prompts, and optional person references into image and video advertising concepts using third-party AI models. Features, models, prices, processing times, supported formats, and credit costs may change.

AI outputs are probabilistic. Results may be inaccurate, incomplete, similar to other outputs, or unsuitable for a particular campaign. We do not guarantee that an output is unique, legally protectable, non-infringing, factually correct, or accepted by any advertising platform. You must review outputs before publishing or relying on them.

Photo2Ads is a creative tool, not legal, advertising-compliance, medical, financial, or professional advice. You remain responsible for claims, disclosures, permissions, targeting, labeling, accessibility, and platform-policy compliance in your final ads.

Customer Content and Permissions

"Customer Content" includes the product photos, person or avatar references, logos, trademarks, prompts, text, files, settings, and other material you submit, plus the outputs generated for you.

As between you and Photo2Ads, you retain your rights in Customer Content. You give West North Labs LLC a worldwide, non-exclusive, limited, royalty-free license to host, copy, transmit, modify, display, and process Customer Content only as reasonably needed to provide, secure, troubleshoot, and support Photo2Ads, comply with law, and enforce these Terms. This license ends when the content is deleted from our active systems, subject to backups, provider retention, legal obligations, and copies you shared elsewhere.

You represent that you have all rights, licenses, releases, notices, and consents necessary to submit Customer Content and use the resulting output. That includes rights involving products, packaging, logos, trademarks, copyrighted works, confidential information, and any person's face, voice, likeness, or personal information.

Photo2Ads does not use Customer Content to train Photo2Ads-owned models. Third-party generation providers process inputs and outputs under their own terms, and you authorize us to send the material needed to the provider selected for your request. Review our Privacy Policy before uploading sensitive or confidential material.

Acceptable Use and Prohibited Content

These standards apply to prompts, uploaded references, Customer Content, generated outputs, attempts to generate content, and the way you publish, share, or otherwise use Photo2Ads. You may not use the service to generate, upload, edit, store, distribute, promote, or facilitate any of the following six categories:

1. Sexual or NSFW content. Pornography; explicit sexual activity; nudity or fetish content intended for sexual arousal; sexual services; non-consensual intimate imagery; or other sexually explicit material.
2. Violent, graphic, or gory content. Depictions or promotion of serious physical violence, torture, dismemberment, death, severe injury, blood, gore, or cruelty, including content that praises, threatens, or instructs others to commit violence.
3. Hate speech. Content that attacks, threatens, dehumanizes, or promotes hatred, exclusion, or violence against a person or group based on race, ethnicity, national origin, religion, caste, disability, sex, gender identity, sexual orientation, age, veteran status, or another protected characteristic.
4. Child sexual abuse material (CSAM) and other child-unsafe content. Any real, synthetic, or altered sexual depiction of a minor; grooming, sexualization, exploitation, trafficking, or abuse of a minor; or content that facilitates, glorifies, or solicits harm to children. This category is subject to zero tolerance.
5. Deepfakes and impersonation. Deceptive or unauthorized use of a real person's face, voice, likeness, identity, or personal information to impersonate them, fabricate an endorsement or event, commit fraud, or create non-consensual intimate material, whether or not the result is fully synthetic.
6. Copyright or trademark infringement. Content that copies, adapts, distributes, or commercially uses protected works, characters, logos, product designs, trade dress, or marks without the rights or permission required by law, including counterfeiting, passing off, or misleading brand association.

You also may not use Photo2Ads to:

• violate law, regulation, sanctions, court orders, or another person's rights;
• create or facilitate fraud, deception, defamation, harassment, spam, malware, or other unlawful or harmful conduct;
• upload secrets, payment credentials, or material designed to attack or extract information from the service, another user, or a provider;
• probe, scrape, reverse engineer, disrupt, overload, or bypass authentication, safety, rate, plan, model, Credit, or usage controls, including attempts to evade content filters;
• resell or provide shared access to Photo2Ads except under a written agreement with us; or
• misrepresent AI-generated material as verified evidence, a real customer statement, human-created work, or a genuine event when it is not.

These rules apply even when prohibited material is fictional, synthetic, altered, privately generated, or not ultimately published. Context, authorization, and disclosure do not make CSAM or other unlawful content permissible.

Reporting Violations

Anyone may report generated content or conduct that may violate these Terms. Use our contact form and choose Content safety or rights report, or email support@photo2ads.com with the subject Content Safety Report. The same channels may be used for copyright, trademark, impersonation, privacy, or other rights complaints.

To help us locate and assess the report, provide what is available:

• the relevant public URL or share link, generation or task ID, account identifier, and approximate date;
• the prohibited category or right involved and a concise explanation of the concern;
• screenshots or other supporting material only when it is safe and lawful to possess and send; and
• for a rights complaint, your relationship to the affected person, work, or mark and the basis for your claim.

Do not send or forward suspected CSAM or other illegal sexual content. Instead, report the location, link, account, or task identifier and a non-graphic description. If someone faces immediate danger, contact local emergency services or law enforcement first.

Do not knowingly submit a false, fraudulent, or malicious report. We handle reporter information as confidentially as reasonably possible, but may share it when needed to investigate, protect users, comply with law, or respond to valid legal process.

Review and Enforcement

When we detect a possible violation or receive a report, our process may include:

1. Intake and triage. We record the report, assess apparent severity and urgency, check whether enough information is available, and prioritize child safety, credible threats, non-consensual intimate imagery, and other potentially illegal or imminent harm.
2. Interim safety steps. While a review is pending, we may block a prompt or generation, disable access to an output, download, or share link, preserve relevant records, or temporarily restrict an account or feature.
3. Review. We may consider provider or automated safety signals, account and task records, the reported material when lawfully available, and relevant context. Reports that require contextual judgment or present serious risk may receive human review. We may ask the reporter or affected user for additional information.
4. Decision and action. We assess the nature, severity, context, and frequency of the conduct, the user's history, applicable law, and provider requirements. If we do not find a violation, we may close the report and reverse temporary restrictions where appropriate.
5. Notice and follow-up. When appropriate, we may notify the affected user and reporter of the outcome or request corrective action. We may limit what we disclose to protect privacy, safety, security, an investigation, or legal obligations.

Depending on the circumstances, we may warn a user; block or cancel a generation; remove or disable content; restrict service or account access; suspend or terminate an account; preserve evidence; or report apparently illegal conduct to service providers, rights holders, child-safety organizations, or law enforcement. Serious or repeated violations may result in immediate permanent action without a prior warning. Enforcement taken because of a violation does not entitle the user to a refund or Credit restoration, except where applicable law requires otherwise.

An affected account holder may appeal an enforcement decision within 14 days through the reporting channels above. On the contact form, choose Content safety or rights report and begin the message with Enforcement Appeal. By email, use Enforcement Appeal as the subject. Include the decision details, reasons the decision may be incorrect, and any new evidence. Where practical, someone who was not the sole decision-maker in the initial review will assess the appeal. Protective restrictions may remain in place during the appeal.

Photo2Ads Intellectual Property

Photo2Ads, including its software, interface, branding, documentation, site content, and underlying systems, is owned by West North Labs LLC or its licensors and is protected by intellectual-property law. These Terms give you a limited, revocable, non-transferable right to use the service as intended; they do not transfer ownership of Photo2Ads.

If you provide feedback, you allow us to use it without restriction or payment, but we will not identify you publicly as the source without permission.

Credits, Plans, and Usage

Photo2Ads uses "Credits" to measure generation and certain model costs. The number of Credits required can vary by model, duration, resolution, quality, audio, output count, and provider cost. We show the applicable cost before you submit a generation when practical.

• Subscription Credits are granted for the applicable billing cycle and expire at the end of that cycle if unused. They do not roll over unless a plan expressly says otherwise.
• One-time Credit Packs do not expire while your account and the Photo2Ads credit service remain available, unless a promotion or redemption offer clearly states a different rule.
• Credits have no cash value, are not legal tender, cannot be transferred between accounts, and cannot be redeemed for money.
• Photo2Ads is designed to automatically return the Credits charged for a generation when our system records the job as failed. A returned Credit is not a cash refund. If a system failure is recorded but your balance does not update, contact support with the generation details.

We may correct a Credit balance affected by fraud, abuse, duplicate fulfillment, reversal, chargeback, refund, or technical error.

Payments, Renewal, Cancellation, and Refunds

Prices are shown before checkout and may exclude taxes. Stripe or another disclosed payment provider processes payment details. By starting a subscription, you authorize recurring charges at the displayed interval until canceled.

You can cancel an active subscription through the available billing controls. Cancellation stops the next renewal; access and included plan features generally continue through the already-paid period unless the account is terminated for cause. We do not provide prorated refunds for unused time or unused subscription Credits except where required by law.

Payments and Credit purchases are generally final once fulfilled. Contact us promptly about duplicate charges, incorrect amounts, an unauthorized transaction, or another billing error. We may approve a refund where required by law or after reviewing a verified billing error. Dissatisfaction with the style or subjective quality of a successfully delivered AI output does not by itself qualify for a cash refund.

Chargebacks do not replace contacting support. We may suspend an account while a disputed payment is investigated and may remove Credits tied to a refunded or reversed transaction.

Third-Party Services

Photo2Ads relies on services such as Cloudflare, Google, Stripe, KIE.ai, and routed AI model providers. Your use of third-party features may also be governed by their terms. We are not responsible for an independent third party's services, policies, availability, or changes, although we remain responsible for our own obligations under applicable law.

Links to third-party sites are provided for convenience and do not imply endorsement.

Suspension and Termination

You may stop using Photo2Ads at any time and may use available account-deletion controls or contact us. Subscription cancellation and account deletion are separate actions.

We may limit, suspend, or terminate access if you materially or repeatedly breach these Terms, create security or legal risk, fail to pay, abuse Credits or providers, or if continued operation is not commercially or technically feasible. When reasonable, we will provide notice and an opportunity to address the issue, but immediate action may be necessary for urgent risk.

Sections that by their nature should survive termination—including payment obligations, intellectual-property provisions, disclaimers, liability limits, dispute terms, and licenses needed for retained copies—will survive.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHOTO2ADS IS PROVIDED "AS IS" AND "AS AVAILABLE." WEST NORTH LABS LLC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

We do not warrant uninterrupted or error-free service, that every model or feature will remain available, that Customer Content will never be lost, or that an output will achieve advertising, sales, platform-approval, or other business results. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEST NORTH LABS LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO PHOTO2ADS OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PHOTO2ADS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

These limits do not apply where liability cannot legally be excluded or limited.

Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless West North Labs LLC and its personnel from third-party claims, losses, liabilities, and reasonable costs arising from your Customer Content, published ads, violation of these Terms, or infringement of another person's rights. This obligation does not apply to the extent a claim was caused by our own unlawful conduct.

Governing Law and Courts

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or Photo2Ads must be brought in the state or federal courts located in Delaware, and each party consents to their jurisdiction and venue.

These Terms do not require mandatory arbitration. You and West North Labs LLC retain any rights to a jury trial that applicable law provides. Mandatory consumer-protection laws in your home jurisdiction may still apply.

Before filing a claim, we encourage you to contact us so we can try to resolve the issue informally.

Changes to These Terms

We may update these Terms to reflect product, provider, pricing, security, or legal changes. We will post the revised Terms and update the "Last updated" date. If a change is materially adverse, we will provide additional notice when reasonably appropriate. Changes apply prospectively from their effective date unless law requires otherwise.

General Terms

If part of these Terms is unenforceable, the remaining terms stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, financing, reorganization, or sale of the business. These Terms, the Privacy Policy, checkout terms, and any written plan-specific terms form the entire agreement about Photo2Ads and supersede prior discussions on the same subject.
